Course Description
The Corporate Transparency Act (CTA) mandates that, starting January 1, 2024, many business owners will have to file a new report containing specific details about particular owners and officers to the U.S. Treasury Department’s Financial Crimes Enforcement Network (FinCEN.) Failure to comply can result in harsh civil and criminal penalties. These new Beneficial Ownership Information (BOI) rules have proven controversial, and as a result compliance deadlines have shifted, and misinformation has proliferated online. This course provides critical clarity on the reporting obligations outlined by the 2021 Corporate Transparency Act for beneficial owners of business entities. It covers topics such as identifying a company’s beneficial owners and applicants, the concept of substantial control, and reporting obligations and timelines.

- Understand the background of the Corporate Transparency Act’s new Beneficial Ownership Information reporting requirements, as well as FinCEN’s role in combating financial crime.
